Group Organisation

Valartis Group AG, domiciled in Baar/ZG, is a holding company listed on the SIX Swiss Exchange. Its share capital of CHF 5 million is divided into 5 million bearer shares (ISIN CH0001840450) with a nominal value of CHF 1 each, of which as of 31 December 2011 7.7% were owned by the company itself.

Valartis Group AG is a public limited company under Swiss law. It directly or indirectly holds a shareholding in a number of fully consolidated, unlisted companies. These shareholdings are completely listed in the Annual Report. As a Swiss banking and financial group, Valartis Group is supervised on a consolidated basis by the Swiss Financial Market Supervisory Authority (FINMA).

Operating Structure

The Group structures its activities on the basis of the client groups Private Clients and Institutional Clients. All service, support and group functions are part of the Corporate Center.

Private Clients

The Private Clients segment consists of the private banking activities of our three banks in Switzerland, in Austria and in the Principality of Liechtenstein.

The Valartis Group’s private banking teams in Zurich, Geneva, Vienna and Liechtenstein provide their clientele with wealth management and investment advisory services. A professional, solution-based investment approach forms the foundation of our comprehensive investment advisory and planning. This approach is implemented using an open architecture with a first-class product offering.

The Group’s core markets include Central and Eastern Europe, the Middle East and selected countries in North and South America as well as Asia.

Institutional Clients

The business segment Institutional Clients combines the “Plus+” activities of Valartis Group in Asset Management Funds & Investment Companies, Real Estate Funds & Investment Companies, and Corporates & Markets (the corporate and structured finance business).

Corporate Center

All back-office tasks are performed within the Corporate Center, which acts as an internal service center for the operational business units of Valartis Group. It provides services in the areas of Finance & Risk, Asset & Liability Management, Banking Operations & Logistics, Information Technology, Legal Services & Compliance as well as Corporate Communications & Marketing.
